Icelake Terms of Service

You must be at least 18 years old to use the Service.

By using the Service, you represent that you meet this requirement and are not prohibited from using the Service under applicable law.

Icelake provides AI-powered tools that can generate, transform, analyze, or assist with content you submit. The Service may include free features, paid subscriptions, usage-based credits, APIs, beta features, or third-party integrations.

We may modify, suspend, discontinue, or limit any part of the Service at any time, including models, features, pricing, usage limits, or availability.

Our Privacy Policy describes how we handle information. By using the Service, you also agree to that policy.

We do not collect or store usage data about your activity in the Service. Chat history may be stored locally in your browser or device. We do not maintain a server-side archive of your prompts or outputs for ongoing access after processing, except as described in our Privacy Policy or if you voluntarily send content to us.

You may need an account to use certain features.

You are responsible for your account information, credentials, and activity on your account. Notify us if you believe your account has been compromised.

We may suspend or terminate your account if we believe you violated these Terms, created risk, or used the Service unlawfully or abusively.

Some features require payment, a subscription, or credits.

By purchasing, you authorize us and our payment processor to charge applicable fees and taxes. Unless stated otherwise at purchase, subscriptions may renew automatically until canceled, fees are non-refundable except where required by law, and we may change pricing or plan features with notice where required by law.

Cancel through your account settings or applicable billing portal. Cancellation stops future charges but does not automatically entitle you to a refund for prior payments unless required by law or stated by us.

“User Content” means content you submit to the Service, including prompts, files, text, code, images, audio, and other materials. You retain rights you have in your User Content.

You are responsible for your User Content and for having the rights needed to submit it. You grant Icelake a limited license to process User Content as needed to provide, secure, and support the Service, comply with law, and enforce these Terms.

“Output” means content generated by the Service in response to User Content.

To the extent permitted by law, you may use Outputs for lawful purposes subject to these Terms. Outputs may be inaccurate, incomplete, offensive, duplicated, or unsuitable for your use. You are responsible for reviewing Outputs before relying on, publishing, sharing, or using them.

Do not rely on Outputs as the sole basis for decisions involving health, law, finance, employment, housing, insurance, credit, education, safety, or other high-impact matters.

Your use of the Service is also governed by our Acceptable Use Policy (content policy), which is incorporated into these Terms. You may not use the Service for illegal, abusive, exploitative, or harmful activity.

This includes, without limitation:

• Violating applicable law or third-party rights
• Exploiting, sexualizing, or endangering minors
• Creating or distributing non-consensual intimate imagery or sexual content involving real people without consent
• Threats, violence, terrorism, or instructions for unlawful harm
• Fraud, scams, impersonation, or deceptive commercial activity
• Malware, unauthorized access, spam, or evasion of security or usage limits
• Harassment, doxing, stalking, or misuse of personal information
• Unauthorized resale, scraping, or abuse of the Service

The Acceptable Use Policy has additional detail on prohibited and allowed content. We may investigate and suspend, limit, or terminate access if we believe these Terms or the AUP were violated or use creates risk to Icelake, users, third parties, or the public.

The Service is not a substitute for professional advice. Outputs are for informational purposes only. Consult qualified professionals before relying on Outputs in regulated or high-impact contexts.

Icelake and its licensors own the Service and related intellectual property. These Terms do not grant you ownership of the Service. You may not use Icelake branding without our prior written permission, except as permitted by law.

If you provide feedback about the Service, you grant Icelake a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

The Service may depend on third-party services, models, infrastructure, or tools. Your use of those services may be subject to separate terms. Icelake is not responsible for third-party services except as required by law.

Beta, preview, or experimental features may be unstable, incomplete, or discontinued at any time and are provided “as is.”

You may stop using the Service at any time.

We may suspend or terminate access if you violate these Terms, create risk, fail to pay, require termination by law, or if we discontinue the Service or a material part of it.

Provisions that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.

THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ICELAKE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

You use the Service and Outputs at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, ICELAKE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.

TO THE FULLEST EXTENT PERMITTED BY LAW, ICELAKE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ICELAKE FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM AROSE OR USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Icelake and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims arising out of your use of the Service, your User Content, your Outputs, your violation of these Terms or law, or your violation of third-party rights.

We may update these Terms from time to time. Material changes will be posted with an updated effective date or as otherwise required by law. Continued use after an update means you accept the revised Terms. If you do not agree, stop using the Service.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Before filing a claim, email support@icelake.io and try to resolve the dispute informally. If we cannot resolve it within 30 days, disputes arising out of or relating to these Terms or the Service may be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

You may not use the Service in violation of applicable export controls, sanctions, or other trade restrictions.

If you believe content available through the Service infringes your copyright, send a notice to support@icelake.io.

Include the information required by applicable law, such as identification of the work, identification of the material, your contact information, and statements of good faith and authorization.

These Terms are the entire agreement between you and Icelake regarding the Service.

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
